EASYBOOK TERMS OF USE FOR CUSTOMERS

INTRODUCTION

This website including but not limited to mobile, desktop and mobile applications (the "Site") is owned and operated by Easybook.com Pte. Ltd. ("Easybook", "we", "us" or "our" and shall include its subsidiaries). The use of this Site and the content and information available on this Site (collectively the "Services") shall be subject to acceptance of and compliance with the terms and conditions set forth in these Terms of Use (collectively, the "TOU") and elsewhere on this Site. The terms "you," "your", "yours", "member" "members" and "yourself" refer to all visitors and/or members to this Site.

Your agreement to comply with and be bound by these TOUs is deemed to occur upon your first use of the Site. If you do not agree to these TOUs, you should not review information or obtain goods, services or products from this Site. Easybook has the total right to edit or delete any content in the Site, including this Agreement, without notifying you.

If you are under the age of 18 or the legal age for giving consent hereunder pursuant to the applicable laws in your country (“legal age”), you must obtain permission from your parent(s) or legal guardian(s) to open an account on the Site. If you are the parent or legal guardian of a minor who is creating an account, you must accept and comply with these TOUs on the minor's behalf and you will be responsible for the minor’s actions, any charges associated with the minor’s use of the Site and/or Services or purchases made on the Site. If you do not have consent from your parent(s) or legal guardian(s), you must stop using and/or accessing this Site and/or Services.

These TOUs may be modified from time to time. Any modifications to these TOUs will be effective upon posting. You should therefore read these TOUs before you place any order and/or booking. Your continued use of the Site after any modifications to the TOU indicates your acceptance of the modified TOU.

1. USE OF THIS SITE

    You agree not to:-

    • Reproduce, copy, distribute, modify, publish, transmit, display, use, reuse, re-publicize, assign, sublicense, sell, or exploit for any public or commercial purpose, any portion of the Site, use of the Site, or access to the Site;
    • Attempt to change, add to, remove, deface, hack or otherwise interfere with this Site or any material or content displayed on this Site; and/or
    • Access or use this Site in any way that could or is intended to damage or impair the Site, or any server or network underlying the Site, or interfere with anyone else's use and enjoyment of the Site.

2. USE OF INFORMATION

    We have a group privacy policy which sets out how we handle personal data that you may provide or that we may collect, in connection with your access or use of this Site. The policy is available on the Site. You accept and agree to the terms set out in the policy and consent to the collection, use and disclosure of your personal data in accordance with the policy.

3. SUBMISSIONS

    You may post reviews of products or services, comments, suggestions, or other messages, if available (collectively referred to as “Submissions”) so long as the content of your Submission is not unlawful, threatening, abusive, spiteful, defamatory, invasive of privacy, obscene, profane, sexually explicit, fraudulent or otherwise objectionable or injurious to third parties (including, but not limited to, any content that encourages conduct that would constitute a criminal offence, give rise to civil liability, or otherwise violate applicable law). You may not use a false e-mail address, impersonate any person or entity, or otherwise mislead as to the origin of your Submission. Easybook reserves the right (but not the obligation) to monitor, edit and remove any Submission. By posting or sending us any Submission, you grant Easybook a non-exclusive, perpetual, irrevocable and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Submission in any media.

4. PROMOTIONS

    From time to time, we may offer and/or co-sponsor contests and games on the Site. Each of these activities shall be governed by specific rules accessible from the Site.

5. EASIPOINTS

    Easipoints shall be under the management and administration of Easybook Pay Pte. Ltd.

6. CURRENCY CONVERSIONS

    The currency rates on our Site are based on various sources and are provided as a guideline only. The provider of the account you pay with may use an alternative currency rate which you are responsible for confirming.

7. DISCLAIMER AND EXCLUSION OF LIABILITY

  • This Site, the Services, the information on this Site and the use of all related facilities are provided on an "as is, as available" basis without any warranties whether express or implied.
  • To the fullest extent permitted by applicable law, we disclaim all representations and warranties relating to this Site and its contents, including in relation to any inaccuracies or omissions in this Site, warranties of merchantability, quality, fitness for a particular purpose, accuracy, availability, noninfringement or implied warranties from course of dealing or usage of trade.
  • We do not warrant that this Site will always be accessible, uninterrupted, timely, secure, error-free or free from computer virus or other invasive or damaging code or that this Site will not be affected by any Acts of God or other force majeure events, including inability to obtain or shortage of necessary materials, equipment facilities, power or telecommunications, lack of telecommunications equipment or facilities and failure of information technology or telecommunications equipment or facilities.
  • While we may use reasonable efforts to include accurate and up-to-date information on this Site, we make no warranties or representations as to its accuracy, timeliness or completeness. WE SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, HOWSOEVER CAUSED, RESULTING FROM YOUR ACCESS TO, USE OF OR INABILITY TO USE, RELIANCE ON OR DOWNLOADING FROM THE SITE, OR ANY DELAYS, INACCURACIES IN THE INFORMATION OR IN ITS TRANSMISSION INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF BUSINESS OR PROFITS, USE, DATA OR OTHER INTANGIBLE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • The above exclusions and limitations apply only to the extent permitted by law. None of your statutory rights as a consumer that cannot be excluded or limited are affected.
  • Notwithstanding our efforts to ensure that our Site and/or system is secure, you acknowledge that all electronic data transfers are potentially susceptible to interception by others. We cannot, and do not, warrant that data transfers pursuant to this Site, or electronic mail transmitted to and from us, will not be monitored or read by others.
  • Although we use reasonable endeavours to ensure that any software made available on this Site is suitable for downloading, installation and/or use by you, all such software is provided "as is" without any warranty. Specifically, and without limitation, we do not warrant that any such software is virus-free, without defects, compatible with other software or operating systems or suitable for any specific purpose. We accept no liability for any loss or damage caused by the downloading, installation or use of any such software, and the general exclusions and limitations above apply to such downloading, installation or use by you.

  • You may not create a link to any page of this Site without our prior written consent. If you do create a link to a page of this Site, you do so at your own risk and these TOU will apply to your use of this Site by linking to it.
  • For your convenience, we may include hyperlinks to other websites or content on the Site that are owned or operated by third parties. Such linked websites or content are not under our control and we are not liable for any errors, omissions, delays, defamation, libel, slander, falsehood, obscenity, pornography, profanity, inaccuracy or any other objectionable material contained in the contents, or the consequences of accessing any linked website. Any hyperlinks to any other websites or content are not an endorsement or verification of such websites or content and you agree that your access to or use of such linked websites or content is entirely at your own risk.

9. THIRD-PARTY ADVERTISEMENTS AND LINKS TO THIRD-PARTY SITES

  • Easybook may display advertisements from third parties, such as banner advertisements and pop-up texts, and links to third-party sites, on the Site. We are not responsible for the content of such advertisements or links, any products, services or other materials relating to such advertisements, any linked site, or any link contained in a linked site. The display of any such advertisement or link does not imply endorsement by Easybook of the advertisement or linked site or any content therein. IN NO EVENT WILL EASYBOOK BE LIABLE, DIRECTLY OR INDIRECTLY, TO ANYONE FOR ANY DAMAGE OR LOSS ARISING FROM OR RELATING TO ANY USE, CONTINUED USE OR RELIANCE ON ANY THIRD PARTY ADVERTISEMENT DISPLAYED ON THE SITE, ANY PRODUCTS, SERVICES OR OTHER MATERIALS RELATING TO ANY SUCH ADVERTISEMENT, ANY LINKED THIRD PARTY SITE OR ANY LINK CONTAINED IN A LINKED SITE.

10. INTELLECTUAL PROPERTY RIGHTS

  • All editorial content, information, photographs, illustrations, artwork and other graphic materials, and names, logos and trademarks on this Site are protected by copyright laws and/or other laws and/or international treaties, and belong to us and/or our suppliers, as the case may be. These works, logos, graphics, sounds or images may not be copied, reproduced, retransmitted, distributed, disseminated, sold, published, broadcasted or circulated whether in whole or in part, unless expressly permitted by us and/or our suppliers, as the case may be.
  • Nothing contained on the Site should be construed as granting by implication, estoppel, or otherwise, any license or right to use any trademark displayed on the Site without our written permission. Misuse of any trademarks or any other content displayed on the Site is prohibited.
  • We will not hesitate to take legal action against any unauthorised usage of its trademarks, name or symbols to preserve and protect its rights in the matter. All rights not expressly granted herein are reserved. Other product and company names mentioned herein may also be the trademarks of their respective owners.

11. GOVERNING LAW AND JURISDICTION

  • This Site may be accessed from all countries around the world where the local technology permits. As each country has differing laws, by accessing this Site both we and you agree that the laws of Singapore, without regard to the conflict of laws and principles thereof, will apply to all matters relating to these TOUs.
  • You accept and agree to submit to the exclusive jurisdiction of the courts of Singapore in respect of any dispute or difference arising out of and/or in connection with these TOUs.

12. GENERAL

  • If any provision of the TOU is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law. This shall, without limitation, also apply to the applicable law and jurisdiction as stipulated above.
  • The failure of Easybook to enforce any right or provision in the TOU shall not constitute a waiver of such right or provision unless acknowledged and agreed to by Easybook in writing.
  • The TOU have been initially drawn up in the English language. Translations in other languages may be available for your convenience. In case of conflict between the English language version and a translated version, the English language version shall prevail.
  • These TOUs constitute the complete and entire agreement between the Parties on the subject of 'terms of usage of the T-ERP System' (save and except the other policies and terms referred to in these TOUs) and shall supersede any and all other prior understandings, commitments, representations or agreements, whether written or oral, between the Parties to these TOU.
  • If any provision of these TOUs shall be found by any court or administrative body of competent jurisdiction to be invalid or unenforceable, such invalidity or enforceability shall not affect the other provisions of these TOUs, which shall remain in full force and effect.
  • In no event will any delay, failure or omission (in whole or in part) in enforcing, exercising or pursuing any right, power, privilege, claim or remedy conferred by or arising under these TOUs or by law, be deemed to be or construed as a waiver of that or any other right, to bar the enforcement of that, or any other right, power privilege, claim or remedy, in any other instance at any time or times subsequently.
  • Easybook shall not be liable for any purchasing decisions made by the Customer based on misrepresentation, inaccuracies, false advertising, user ratings, or any other misleading information provided by third-party partners. This includes, but is not limited to, any product descriptions, endorsements, or other promotional content provided by any third parties. Additionally, Easybook is not liable for any user ratings, reviews, or feedback provided by other users on our platform. The user acknowledges that such ratings and reviews are subjective opinions and should not be solely relied upon for making purchasing decisions.

EASYBOOK TERMS OF USE FOR SUPPLIERS

Effective from: 1st September 2024

INTRODUCTION

The Transport Enterprise Resource Planning (“T-ERP System”) is subject to these Terms of Use (“TOU”). References to “You” or “Your” are a reference to the individual who is authorised to access the T-ERP System on behalf of the Supplier. An individual will be authorised to use the T-ERP System if they are acting on behalf of an organisation that has entered into an agreement with Easybook for the provision of services (who will be referred to as the “Supplier” in these TOUs) and which may include the listing of inventory in the T-ERP System.

You should only access and use this T-ERP system if you have been authorised to do so by and on behalf of a supplier. By using the T-ERP system, both you and the supplier agree to be bound by this TOU and you further agree that you are authorised to enter into this TOU for and on behalf of the supplier and to bind the supplier to the terms of the TOU.

The users of the T-ERP System shall be deemed to have read, understood and expressly accepted these TOUs, which shall govern the usage of the T-ERP System for all purposes and shall be binding on the User. All rights and liabilities of the User and/or the T-ERP System with respect to the use of the T-ERP System and the use of the bus ticket booking facility ("Facility") provided by the T-ERP System shall be restricted to the scope of this TOU.

1. OBLIGATIONS OF THE SUPPLIER

    You and the Supplier agree:

  • 1.1 USE OF THE T-ERP SYSTEM

    • To use the T-ERP System only as permitted by these TOUs;
    • Not to interrupt or attempt to interrupt the operation of the T-ERP System in any way or to attempt to gain unauthorised access to the T-ERP System or any part of it, using the identity generated through the T-ERP System;
    • Not to use the T-ERP System in any manner that could damage, disable, overburden, or impair it or interfere with Easybook’s or any other party’s use and enjoyment of the T-ERP System;
    • Not to obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the T-ERP System;
    • To only use the T-ERP System for the Supplier’s internal business use and not to duplicate, download, publish, or otherwise distribute T-ERP System material for any purpose other than to review and/or enter information related to the Service and/or Products and other transactions with the Supplier;
    • Any information accessed or received through the T-ERP System is solely for the Supplier’s internal use and may not be re-distributed, resold or otherwise transmitted outside of the Supplier’s organisation;
    • Not to make any unauthorized use of the T-ERP System, including (without limitation) unauthorized marketing, sales, use or disclosure of Confidential Information (as described above unauthorized framing of (or linking to) the T-ERP System. Unauthorised use of the T-ERP System, including (without limitation) unauthorised entry or attempted entry, misuse of passwords, misuse of any information available in or through the T-ERP System, or illegal conduct, is strictly prohibited. Easybook reserves the right to prohibit access to anyone who Easybook determines to be violating or attempting to violate these TOUs;
    • That in the event of a data breach or any unauthorised access to customer data, the Supplier must immediately notify the T-ERP System and take all necessary steps to mitigate the impact of the breach. The Supplier will be held liable for any damages, costs, or losses incurred by the T-ERP System or its customers as a result of a data breach caused by the Supplier’s actions or negligence in compliance with the Personal Data Protection Act 2010; and
    • Not use the T-ERP System for fraudulent purposes, or in connection with a criminal offence or other unlawful activity.
  • 1.2 SUPPLIER CONDUCT AND RESPONSIBILITIES

    • Not to send, use or reuse any material that does not belong to You; or material that is illegal, offensive (including but not limited to material that is sexually explicit content or which promotes racism, bigotry, hatred or physical harm), deceptive, misleading, abusive, indecent, harassing, blasphemous, defamatory, libelous, obscene, pornographic, paedophilic or menacing; ethnically objectionable, disparaging or in breach of copyright, trademark, confidentiality, privacy or any other proprietary information or right; or is otherwise injurious to third parties; or relates to or promotes money laundering or gambling; or is harmful to minors in any way; or impersonates another person; or threatens the unity, integrity, security or sovereignty of Singapore or friendly relations with foreign States; or objectionable or otherwise unlawful in any manner whatsoever; or which consists of or contains software viruses, political campaigning, commercial solicitation, chain letters, mass mailings or any "spam" to cause annoyance, inconvenience or needless anxiety;
    • To ensure that all information provided to the T-ERP System, including but not limited to product descriptions, service details, schedules, prices, and availability, is accurate, complete, and up-to-date at all times. The Supplier must regularly review and promptly update this information to reflect any changes. Failure to provide accurate and timely updates may result in customer dissatisfaction, complaints, cancellations, or other operational issues. The Supplier will be held liable for any damages, costs, or losses incurred by the T-ERP System or its customers due to inaccurate, incomplete, or outdated information;
    • Acknowledge that any inaccurate, incomplete, or outdated information may result in customer dissatisfaction, complaints, cancellations, or other operational issues. The Supplier will be held liable for any damages, costs, or losses incurred by the T-ERP System or its customers due to the provision of inaccurate information;
    • Comply with all applicable local, regional, and national laws, regulations, and industry standards relevant to their business operations and the services provided through the T-ERP System. This includes, but is not limited to, consumer protection laws, health and safety regulations, licensing requirements, and tax obligations;
    • Promptly report any issues, violations, or incidents related to their products or services to the relevant authorities and the T-ERP System;
    • Responsible for delivering the products and services as advertised on the T-ERP System. This includes ensuring that all tickets sold through the T-ERP System are honoured and that the services provided meet or exceed the quality standards described in the listings;
    • Immediately notify the T-ERP System and affected customers in the event of any disruptions, delays, or service changes. The Supplier is responsible for providing alternative arrangements, compensation, or refunds as necessary to resolve the issue to the customer’s satisfaction; and
    • Acknowledges that failure to deliver the advertised products or services may result in legal claims, customer complaints, and repetitional damage to both the Supplier and the T-ERP System. The Supplier will be held liable for any damages, costs, or losses resulting from non-delivery or substandard service.
  • 1.3 CUSTOMER SERVICE SUPPORT

    • To provide timely, courteous, and effective customer support to address any inquiries, complaints, or issues raised by customers. The Supplier is required to respond to customer inquiries and complaints within a reasonable time frame, as determined by the T-ERP System’s guidelines. Failure to provide prompt and satisfactory customer support may result in penalties or the suspension of the Supplier’s account; and
    • If a customer complaint cannot be resolved directly by the Supplier, the issue must be escalated to the T-ERP System’s support team for further assistance. The Supplier agrees to cooperate fully with Easybook to resolve escalated issues.
  • 1.4 SERVICE DELIVERY & PAYMENT

    • Agrees to a minimum monthly subscription commission of SGD 10.00 to Easybook. In the event that the earned commissions for Easybook from the ticket sales of the Supplier did not meet the minimum amount for any given month, Easybook shall have the right to impose top-up charges to the amount for the continued use of the system; and
    • Acknowledges and agrees that the imposition of these charges is a remedy for Easybook’s operational costs incurred due to the shortfall in anticipated commission. Easybook reserves the right to increase the amount at a periodic annual review beginning of each calendar year.

2. RIGHTS OF EASYBOOK

    Easybook reserves the right to terminate, change, suspend or discontinue any aspect of the T-ERP System, including (without limitation) content, features or hours of availability. Easybook may also impose limits on certain features of the T-ERP System or systems, or restrict Your access to the whole or a part of the T-ERP System or systems without notice if Easybook has reasonable belief that any account is being used for unauthorized purposes.

3. WARRANTY AND LIMITATION OF LIABILITY

  • Easybook provides the T-ERP System to facilitate communications regarding the commercial relationship between You/Supplier and Easybook on an “as is” basis, without warranty of any kind, either expressed or implied, including (without limitation) to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • Easybook will not be liable for indirect, special, incidental or consequential damages (including (without limitation) damages from loss of business, diminution of property value, loss of profits, or downtime) resulting from use of this portal, whether based in contract or tort (including (without limitation) negligence), product liability or otherwise, even if advised of the possibility of such damages. some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. accordingly, some of the above limitations may not apply to you and/or the Supplier.

4. TERMINATION

    Easybook may terminate these TOU and Your use of the T-ERP System at any time immediately and without prior notice if You or Supplier violate any provision of these T-ERP System or Easybook is unable to verify or authenticate the information You provide to Easybook. Easybook may terminate these TOUs and Your use of the T-ERP System for any other reason it deems appropriate upon giving You reasonable notice in writing. All provisions of these TOUs that by their nature are intended to survive termination will remain in effect.

5. NON-TRANSFERABLE

    Your right to use the T-ERP System is not transferable, may not be assigned without Easybook’s express written consent and is subject to any limits established by Easybook and all applicable agreements between Supplier and Easybook.

6. INDEMNITY AND RELEASE

    You shall indemnify and hold harmless Easybook, its subsidiaries, affiliates and their respective officers, directors, agents and employees, from any claim, demand, or actions including reasonable attorney's fees, made by any third party or penalty imposed due to or arising out of your breach of these TOU or any document incorporated by reference, or your violation of any law, rules, regulations or the rights of a third party.
