EASYBOOK TERMS OF USE

Effective from: 21^st April 2024

INTRODUCTION

This website, including but not limited to mobile, desktop and mobile applications (the "Site"), is owned and operated by Easybook (SG) Pte Ltd. ("Easybook", "we", "us" or "our", and shall include its subsidiaries). Easybook provides and sells transport tickets, travel products, and related services (collectively, the "Services") directly to customers through the Site.

When you make a booking or purchase on the Site, you enter into a contract directly with Easybook, and Easybook is solely responsible for the provision, fulfilment, and delivery of the Services. Easybook may engage third-party service providers to perform or fulfil the Services on its behalf. Such third parties act solely as subcontractors to Easybook and do not have any contractual relationship with you.

Your use of this Site is subject to acceptance of and compliance with these Terms of Use ("TOU"). By using the Site, you agree to be bound by these TOU. If you do not agree to these TOU, you must not use the Site or purchase Services. Easybook reserves the right to amend these TOU from time to time. Any changes will take effect upon publication on the Site.

1. USE OF THIS SITE

You agree not to:-

Reproduce, copy, distribute, modify, publish, transmit, display, use, reuse, re-publicize, assign, sublicense, sell, or exploit for any public or commercial purpose, any portion of the Site, use of the Site, or access to the Site;
Attempt to change, add to, remove, deface, hack or otherwise interfere with this Site or any material or content displayed on this Site; and/or
c. Access or use this Site in any way that could or is intended to damage or impair the Site, or any server or network underlying the Site, or interfere with anyone else's use and enjoyment of the Site.

2. USE OF INFORMATION

We collect and process personal data in connection with the provision of Services directly to you. You consent to such collection and use in accordance with our Privacy Policy.

3. SUBMISSIONS

You may post reviews of products or services, comments, suggestions, or other messages, if available (collectively referred to as "Submissions") so long as the content of your Submission is not unlawful, threatening, abusive, spiteful, defamatory, invasive of privacy, obscene, profane, sexually explicit, fraudulent or otherwise objectionable or injurious to third parties (including, but not limited to, any content that encourages conduct that would constitute a criminal offence, give rise to civil liability, or otherwise violate applicable law). You may not use a false e-mail address, impersonate any person or entity, or otherwise mislead as to the origin of your Submission. Easybook reserves the right (but not the obligation) to monitor, edit and remove any Submission. By posting or sending us any Submission, you grant Easybook a non-exclusive, perpetual, irrevocable and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Submission in any media.

4. PROMOTIONS

Easybook may offer promotions from time to time. Easybook shall be responsible for the administration and fulfilment of such promotions unless otherwise expressly stated.

5. EASIPOINTS

Easipoints shall be issued, managed, and administered by Easybook or its designated affiliates.

6. CURRENCY CONVERSIONS

All prices displayed on the Site are determined by Easybook. Where currency conversion applies, Easybook shall determine and apply the applicable exchange rate and shall be responsible for the final amount charged.

7. WARRANTY AND LIABILITY

Easybook warrants that it will exercise reasonable care and skill in the provision of the Services.
Easybook warrants that the Services will substantially conform to the descriptions provided on the Site.
Easybook shall be responsible for the proper performance of the Services, including where such Services are carried out by third-party service providers engaged by Easybook.
Easybook shall be liable for direct loss or damage arising from its failure to provide the Services as contracted.
Easybook shall not be liable for failure or delay in performance of the Services to the extent caused by events beyond Easybook’s reasonable control, including acts of God, governmental actions, or unforeseen disruptions that could not reasonably be prevented or mitigated.
Nothing in these TOU shall exclude or limit any statutory rights which cannot be excluded under applicable law.

8. THIRD-PARTY CONTENT, ADVERTISEMENTS, AND LINKS

The Site may contain third-party content, advertisements, or links to third-party websites or services. Easybook does not control the content of such third-party materials or external websites and shall not be responsible for their accuracy, completeness, or content, except to the extent that such content forms part of the Services offered by Easybook. Where any product or service is purchased through the Site, Easybook remains the contracting party and is solely responsible for the provision and fulfilment of such product or service.

9. INTELLECTUAL PROPERTY RIGHTS

All editorial content, information, photographs, illustrations, artwork and other graphic materials, and names, logos and trademarks on this Site are protected by copyright laws and/or other laws and/or international treaties, and belong to us and/or our suppliers, as the case may be. These works, logos, graphics, sounds or images may not be copied, reproduced, retransmitted, distributed, disseminated, sold, published, broadcasted or circulated whether in whole or in part, unless expressly permitted by us and/or our suppliers, as the case may be.
Nothing contained on the Site should be construed as granting by implication, estoppel, or otherwise, any license or right to use any trademark displayed on the Site without our written permission. Misuse of any trademarks or any other content displayed on the Site is prohibited.
We will not hesitate to take legal action against any unauthorised usage of its trademarks, name or symbols to preserve and protect its rights in the matter. All rights not expressly granted herein are reserved. Other product and company names mentioned herein may also be the trademarks of their respective owners.

10. GOVERNING LAW AND JURISDICTION

This Site may be accessed from all countries around the world where the local technology permits. As each country has differing laws, by accessing this Site both we and you agree that the laws of Singapore, without regard to the conflict of laws and principles thereof, will apply to all matters relating to these TOUs.
You accept and agree to submit to the exclusive jurisdiction of the courts of Singapore in respect of any dispute or difference arising out of and/or in connection with these TOUs.

11. GENERAL

If any provision of the TOU is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law. This shall, without limitation, also apply to the applicable law and jurisdiction as stipulated above.
The failure of Easybook to enforce any right or provision in the TOU shall not constitute a waiver of such right or provision unless acknowledged and agreed to by Easybook in writing.
The TOU have been initially drawn up in the English language. Translations in other languages may be available for your convenience. In case of conflict between the English language version and a translated version, the English language version shall prevail.
These TOUs constitute the complete and entire agreement between the Parties on the subject of 'terms of usage of the T-ERP System' (save and except the other policies and terms referred to in these TOUs) and shall supersede any and all other prior understandings, commitments, representations or agreements, whether written or oral, between the Parties to these TOU.
If any provision of these TOUs shall be found by any court or administrative body of competent jurisdiction to be invalid or unenforceable, such invalidity or enforceability shall not affect the other provisions of these TOUs, which shall remain in full force and effect.
In no event will any delay, failure or omission (in whole or in part) in enforcing, exercising or pursuing any right, power, privilege, claim or remedy conferred by or arising under these TOUs or by law, be deemed to be or construed as a waiver of that or any other right, to bar the enforcement of that, or any other right, power privilege, claim or remedy, in any other instance at any time or times subsequently.
Easybook shall be responsible for all product descriptions, service representations, and content presented on the Site, including where such content originates from third-party service providers engaged by Easybook.
